This is a courtesy translation of the Italian terms of service: in case of any discrepancy, the Italian version prevails.

Last updated: 24 September 2026. Note: these terms are a draft and must be validated by a legal advisor before final publication.

The provider

The Oravis service is provided by [company name, registered office and VAT number — to be completed] (the “Provider”).

Organizations only

Oravis is reserved for businesses, public and private bodies and professionals (the “Customer”) who use it for their own activity, and is not intended for consumers. Whoever signs the contract declares that they have the authority to bind the organization on whose behalf they act.

Activation

There is no online sign-up. The Customer requests the service through the Contact page or by writing to info@oravis.it; the contract is concluded when these Terms are signed and the Provider activates the instance.

Contract documents

The contract consists of these Terms, the data processing agreement (DPA) and, for the Enterprise plan or the Early Adopter Program, the contract or order signed with the Customer, which prevails over these Terms in case of conflict.

Description

Oravis is cloud software, accessed through the browser, for planning work shifts: automatic schedule generation, constraint checks, management of preferences, absences and swaps, replacement proposals, export and notifications. Features may evolve over time; during a period already paid for we do not remove essential features of the subscribed plan.

Who is responsible for the schedules

Oravis applies the rules, constraints and data entered by the Customer and flags the violations it detects. It is up to the Customer to configure rules that comply with the law (including Italian Legislative Decree 66/2003 or the working-time law applicable to the Customer), the collective agreement and company agreements, to keep the data entered correct and to approve and publish the final schedule. Generated schedules and replacement proposals are decision support: no change is applied without a manager’s confirmation. The Customer remains the employer and solely responsible towards workers and authorities.

Accounts

The Customer appoints one or more administrators, who create the other users’ accounts and define their roles. Every account is personal: credentials must be kept safe and not shared, the provisional password must be changed at first login and two-factor authentication is available for sensitive roles. The Customer is responsible for the use made by the users it enables and notifies us immediately of any unauthorized access.

Prohibited uses

It is not permitted to: access areas or data without authorization; decompile or copy the software; overload the service or use it with automated systems not agreed upon; upload unlawful content or data the Customer has no right to; resell the service to third parties.

Suspension

We may suspend an account in case of breach of these Terms, non-payment after an unanswered reminder, or a concrete risk to the security of the service or the data. Where possible, we notify the Customer beforehand and give them the chance to remedy.

Prices

Plans and prices are shown on the Pricing page and are exclusive of VAT. The Business plan costs €1 per month for each user with an active account in the billing period, from the first one: there is no free user allowance beyond the trial. The Enterprise plan and the favourable terms of the Early Adopter Program are agreed in writing.

Free trial

The free trial lasts 3 months, for up to 20 users and 3 teams. When the trial expires, or if these limits are exceeded, the Business plan applies to all users. At least 15 days before expiry we notify the Customer by email. The move to the paid plan only happens with the Customer’s explicit confirmation: without confirmation, the account is suspended at expiry and the data remains available for export for 60 days, as described below.

Billing and price changes

Paid plans are billed in advance according to the billing frequency chosen by the Customer. Any price changes are communicated by email at least 30 days in advance and apply from the following period; a Customer who does not accept them may withdraw before they take effect.

Data ownership

The data entered into Oravis belongs to the Customer. The Provider uses it only to deliver the service, provide support and keep it secure.

Privacy roles

For staff data the Customer is the controller and the Provider is the processor under Art. 28 GDPR, according to the DPA. All data is processed in compliance with the GDPR. Special categories of data, such as health-related leave entitlements, can only be viewed by authorized roles and every access is logged.

Where the data is

The data resides on servers in Italy, in an instance dedicated to the Customer. The sub-processors the Provider relies on are listed in the DPA; the Customer is informed in advance of any change. On request, Oravis can be installed on the Customer’s servers.

At the end of the contract

When the contract ends or the trial expires, the Customer can export their data for 60 days. After this period the data is permanently deleted, subject to retention obligations required by law; backup copies are deleted through normal rotation.

Website privacy

The processing of data collected through this website, for example with the contact form, is described in the privacy policy.

Availability

We are committed to keeping Oravis continuously available and to limiting interruptions. Scheduled maintenance is announced in advance and carried out, where possible, outside working hours. The Free and Business plans have no numerical service level (SLA); for the Enterprise plan the SLA is defined in the contract.

Support

For support you can write to us at info@oravis.it: we reply on working days.

Software and brand

The software, the algorithms, the Oravis brand and the content of this website belong to the Provider. The Customer receives a non-exclusive, non-transferable licence of use, valid for the duration of the contract.

Suggestions

Ideas and suggestions the Customer shares to improve Oravis, including within the Early Adopter Program, may be used freely by the Provider, with no obligation towards the Customer.

Limits

Except in cases of wilful misconduct or gross negligence, the Provider is not liable for indirect damages, such as lost profits or business interruption, nor for penalties or disputes arising from rules configured by the Customer or schedules approved by them. In any case, the Provider’s total liability does not exceed the amount paid by the Customer in the 12 months preceding the event that caused the damage.

Term

The Free plan lasts until the trial expires. The Business plan renews period by period according to the chosen billing frequency. The Enterprise plan has the term stated in the contract.

Withdrawal

The Customer may withdraw at any time by writing to info@oravis.it: withdrawal takes effect at the end of the period already paid for, with no refunds for partial periods. Either party may terminate the contract in case of a serious breach by the other that is not remedied within 15 days of notice.

Changes to the terms

Material changes to these Terms are communicated by email at least 30 days in advance; a Customer who does not accept them may withdraw before they take effect. Changes required by law or purely formal ones apply from publication.

Law and jurisdiction

These Terms are governed by Italian law. The courts of the place where the Provider has its registered office have exclusive jurisdiction over any dispute.

Specific approval

Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the Customer specifically approves, with a separate signature, the clauses on: responsibility for schedules, suspension, free trial and price changes, data deletion, limitation of liability, withdrawal, changes to the terms and jurisdiction.
